Terms of Service

Overview

These Terms of Service (“Terms”) govern your use of the Varius platform — including the iOS/iPadOS app and the web dashboard at varius.music — operated by Neel Krishnan, doing business as Varius (“Varius,” “we,” “us”).

By creating an account or using the app, you agree to these Terms. If you are using Varius on behalf of an organization (an orchestra, university ensemble, or similar), you represent that you have authority to bind that organization to these Terms.

1. The service

Varius provides score annotation, version control, and distribution tools for orchestra programs. The platform consists of:

  • A web dashboard for librarians to manage score catalogs, production cycles, and ensemble rosters
  • An iOS/iPadOS app for players and principals to view annotated scores, draw on shared and personal annotation layers, and sync markings in real time
  • Server-side diff and marking-classification processing using AI

We reserve the right to modify, suspend, or discontinue any aspect of the service with reasonable notice. We will provide at least 30 days’ notice of any planned discontinuation and offer a data export during that period.

2. Accounts

Eligibility. You must be at least 13 years old to create an account. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms.

Account types. Varius has two account types: Librarian (web dashboard access, organization management) and Player (iOS app access, annotation). An organization may have one Librarian account. Players are added by invitation from the Librarian.

Credentials. You are responsible for keeping your login credentials secure. Notify us immediately at support@varius.music if you believe your account has been compromised.

Accurate information. You agree to provide accurate information when creating your account and to keep it current.

3. Your content

Ownership. You retain ownership of all score files (PDFs) and annotations you upload or create in Varius. We do not claim any rights to your content.

License to us. By uploading content, you grant Varius a limited, non-exclusive license to store, process, and display that content solely to provide the service to you and your organization. This license terminates when you delete the content or close your account.

Your responsibility. You are responsible for ensuring you have the right to upload any PDF you add to Varius. Sheet music PDFs may be subject to copyright. It is your responsibility to hold a valid license, rental agreement, or other legal right to use the scores you upload. Varius does not verify copyright status of uploaded files.

Prohibited content. You may not upload content that:

  • Violates any applicable law
  • Infringes the intellectual property rights of others, except where you hold a valid license or rental agreement
  • Contains malware, viruses, or other malicious code

4. Acceptable use

You agree not to:

  • Use Varius in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to another organization’s data
  • Reverse-engineer, decompile, or attempt to extract the source code of the Varius apps or API
  • Use the service to transmit spam, unsolicited messages, or malicious content
  • Use automated tools to scrape, index, or extract data from the platform without our written permission
  • Misrepresent your identity or affiliation when using the service

Violations may result in account suspension or termination.

5. Payment and pilots

Pilot programs. Some organizations use Varius under a free pilot arrangement. The terms of any pilot (duration, renewal pricing, feedback obligations) are set out in the separate pilot agreement between Varius and your organization.

Paid plans. Pricing for paid plans is available at varius.music/pricing. We will provide at least 30 days’ notice before any price changes take effect for existing customers.

Refunds. If you believe you were incorrectly charged, contact support@varius.music within 30 days of the charge and we will review it.

6. Intellectual property

Varius and its design system, software, and underlying technology are owned by Varius Music LLC. Nothing in these Terms transfers any ownership of Varius’s intellectual property to you.

The “Varius” name and wordmark are proprietary to Varius. You may not use them without our written permission.

7. Third-party services

Varius relies on third-party services including Supabase (database and auth), Vercel (hosting), Anthropic (AI marking classification), and Expo (push notifications). Your use of Varius is also subject to those services’ terms where applicable. We are not responsible for the actions or availability of third-party services.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or that any particular feature will remain available. We do not warrant the accuracy of AI-generated marking classifications — all automatic classifications should be reviewed by a qualified musician before use in rehearsal.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARIUS AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR COST OF SUBSTITUTE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless Varius and its operators, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the service in violation of these Terms; (b) content you upload that infringes a third party’s rights; or (c) your violation of any applicable law.

11. Termination

By you. You may close your account at any time by contacting support@varius.music. Librarians may also close their organization’s account from the dashboard settings. Before closure, we recommend exporting your data.

By us. We may suspend or terminate your account if you materially breach these Terms and fail to cure the breach within 14 days of written notice. We may terminate immediately for violations involving illegal activity, unauthorized access attempts, or repeated copyright infringement.

Effect of termination. On termination, your access to the service ends. We will retain your data for 30 days to allow for export, then delete it per the schedule described in our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Cobb County, Georgia, and you consent to personal jurisdiction there.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
